The top counterstamp is a Cross of Lorraine, which was commonly used as a symbol by the Free French during WW2 - Lorraine having been one of the French provinces annexed by Germany in 1870 during the Franco-Prussian War, which the French had never forgiven the Germans for.
I'm puzzled by this being a 1940 French 2-francs. These coins were made of aluminium-bronze and should be yellow in color. They changed to aluminum (white color)in 1941.
