Got this along with 24 other Wheat Cents a couple weeks ago at my LCS. Looked through them last night and this really stood out. Try and try as I might the pictures just aren't doing it justice (like a bad hair day, I'm having a bad picture day...ugh). It has some rainbow toning. The last picture I've posted is for a comparison, it's a 1952 D in decent shape as I don't have another 1940 to compare with. From what I've seen there were only like about 15,300ish Proof Cents from 1940. Would appreciate any thoughts. Thank you.

Looks like a nicely toned business strike.

Rims alone confirm this is not a proof.

Okay. Thanks guys.

@Coinfrog when you say the rims do you mean on the obverse for instance where 'IGWT' looks kind of 'mushy' and pressed into the rim? I do have a 1970 S Proof and since you mentioned that and I put them side by side I can see the difference.
Rest in Peace

What this is, is a well struck business strike cent.
Also comparing 2 coins that are 12 years apart usually won't provide the results you are looking for. Like comparing apples and bananas. many dies have been made between these 2 coins with subtle design changes over the years.

What really hooked me was the super nice finish. I didn't look as closely at the devices. I learned something and got a pretty nice looking Wheatie so I'll take it. :)
