Yes, it is a reverse of 40. The grade is a little hard to say with the coin in the holder. From what I can see and my limited experience I would grade it at MS-63. It is a very nice looking coin that I would not hesitate to purchase for my collection.

It is hard to tell from those pictures, but I would think MS-64.

maybe it is the light but it looks to me like there is dirt in the area along the letters.
