Hi, Bowfin, I don't know much about New Zealand coinage, but I think that's a real nice looking one.

I love the design, with the birds.

For a 1940 coin it looks like EF or AU, it has a few small dings, that will probably put it EF

Going by the George VI portrait, I see wear on the cheekbone, brown and high point in the hair.
I would say VF35-EF40--but correct me please.

G'day,
New Zealand introduced its own silver coinage in 1933.
Bronze coins followed in 1940.
So, this coin is the first of its type.
New Zealand went decimal in 1967.
The bird on the penny is a "Tui"; see:

All of the design elements are readily apparent, but I can see a few dings on the obverse. I don't like the gunk in the "4": if it were mine, I'd probe it with a bamboo toothpick - gently.
I'd say its VF+.
A nice coin, that I'd be happy to have in my collection.

yep, that is a VF+. But is the yellowish color just the picture or has it actually been cleaned and attained that odd look?

That is just digital photography showing it's faults(that and I think I probably over exposed it a bit making it worse). That coin has a nice rich cinnamon brown color.
